1. Introduction / Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of the Pulse Manor web application and related services (collectively, the "Services") provided by Pulse Manor ("Pulse Manor," "Company," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

Your continued use of the Services constitutes acceptance of these Terms and any updates made under Section 19.

2. Services and Support

Pulse Manor provides a multi-tenant property management SaaS platform supporting property, unit, tenant, lease, invoice, payment, receipt, maintenance, communication, analytics, and AI-assisted intelligence workflows.

We may provide technical support during published support hours and through available support channels, and we may modify, improve, or discontinue features from time to time.

3. User Accounts, Roles, and Responsibilities

Access requires account registration and role-based permissions, including landlord, property manager, agency user, tenant, and property administrator roles as applicable.

You are responsible for maintaining credential confidentiality and for activity under your account.

Landlords, property managers, and agencies are solely responsible for rent amounts, tenant records, invoices, leases, notices, and compliance with applicable rental and property laws.

Tenants are solely responsible for verifying payment details, including paybill/till numbers, account references, phone numbers, and payment amounts before submitting payments.

4. Multi-Tenant Access and Data Separation

The Services operate in a multi-tenant environment where each organization workspace is logically separated.

You may only access data for which you are authorized. Any attempt to bypass tenant isolation or access another organization's data is strictly prohibited.

5. Restrictions and Prohibited Use

You shall not reverse engineer, decompile, disassemble, scrape, crawl, hack, probe, exploit, or otherwise attempt unauthorized access to the Services, source code, APIs, integrations, infrastructure, or data.

You shall not bypass authentication, rate limits, tenant boundaries, or other security controls, nor use the Services for unlawful conduct.

You shall not abuse APIs, introduce malicious code, or interfere with platform availability or other users' operations.

6. Client Data, Tenant Data, and Property Data

Client Data includes information submitted by or on behalf of clients, including tenant, property, lease, invoice, payment, communication, and operational records.

Pulse Manor does not own Client Data or Tenant Data. You retain ownership of your data.

You grant Pulse Manor a limited right to host, process, transmit, store, back up, and use data as necessary to provide, maintain, secure, and improve the Services and to comply with legal obligations.

You are responsible for ensuring lawful collection and lawful basis for processing personal data uploaded to the Services.

7. Confidentiality and Proprietary Rights

Each party may receive non-public business, technical, or operational information of the other party ("Confidential Information").

The receiving party will use reasonable safeguards and shall not disclose Confidential Information except as permitted by these Terms or required by law.

Pulse Manor retains all rights, title, and interest in and to the Services, software, and related intellectual property. No rights are granted except as expressly stated.

8. AI Features and Automated Insights Disclaimer

Pulse Manor may provide AI-generated tenant intelligence, summaries, risk insights, recommendations, and analytics.

These AI outputs are assistive only and may be incomplete, inaccurate, or not current. They are not legal, financial, accounting, compliance, credit, or professional advice.

AI outputs must not be treated as final decision-making authority. You remain solely responsible for reviewing outputs and making independent decisions.

9. M-Pesa, Payments, Fees, Billing, and Taxes

Paid features are subject to subscription or usage fees communicated by Pulse Manor.

Payments may be processed through M-Pesa/STK Push and other supported payment methods using third-party APIs and providers.

Payment confirmation may depend on Safaricom/M-Pesa APIs, banks, payment processors, and other third-party systems.

Pulse Manor is not responsible for payment delays, downtime, failed STK pushes, incorrect phone numbers or payment details entered by users, reversal delays, reconciliation delays, or third-party provider failures.

You are responsible for all applicable taxes, levies, and statutory charges related to your use of paid Services.

10. Refunds, Failed Payments, Chargebacks, and Reversals

Fees are generally non-refundable unless required by law or expressly agreed in writing.

Failed, pending, or disputed payments may require reconciliation before credits or access adjustments are made.

Chargebacks and unauthorized reversal requests may result in account restrictions or suspension during investigation.

Pulse Manor may recover outstanding balances, chargeback costs, and processing fees to the extent permitted by law.

11. Data Protection and Privacy

Pulse Manor processes personal data in accordance with applicable laws, including the Kenya Data Protection Act, 2019 and related regulations.

Each party shall implement appropriate technical and organizational measures within its control to protect personal data.

Where required, parties will cooperate in handling data subject requests, incident response, and regulatory obligations.

12. Security Responsibilities

Pulse Manor applies reasonable technical and organizational safeguards designed to protect confidentiality, integrity, and availability of the Services.

You are responsible for endpoint security, credential security, access control configuration, and prompt reporting of suspected incidents.

13. Duration, Suspension, and Termination

These Terms remain effective while you use the Services or maintain an active subscription.

Pulse Manor may suspend or restrict access for nonpayment, suspected fraud, abuse, security threats, violations of these Terms, or legal/regulatory compliance reasons.

Either party may terminate for material breach not cured within thirty (30) days of written notice, or immediately where permitted for nonpayment or legal necessity.

Upon termination, access rights end. Subject to plan terms and applicable law, data export may be requested for a limited post-termination period.

14. Service Availability, Maintenance, and Third-Party Services

Services are provided on an as-available basis and may be affected by scheduled maintenance, emergency maintenance, connectivity issues, or third-party outages.

Pulse Manor is not responsible for unavailability caused by third-party infrastructure or integrated service providers.

15. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided "AS IS" and "AS AVAILABLE."

Pulse Manor disclaims all express, implied, and statutory warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant uninterrupted service, error-free operation, or specific business outcomes.

16. Limitation of Liability

To the maximum extent permitted by law, Pulse Manor and its affiliates, officers, employees, agents, suppliers, and licensors shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

Pulse Manor's total aggregate liability for all claims related to the Services is capped at the total fees paid by Client for the Services in the twelve (12) months preceding the event giving rise to the claim.

17. Indemnification

You agree to defend, indemnify, and hold harmless Pulse Manor and its affiliates, officers, employees, and agents against claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising from your use of the Services, your breach of these Terms, your data, or your violation of applicable law.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of Kenya, without regard to conflict-of-law principles.

Parties shall first attempt good-faith resolution through written notice and negotiation. If unresolved, disputes shall be submitted to competent courts in Kenya, unless mandatory law requires otherwise.

19. Changes to the Terms

Pulse Manor may update these Terms from time to time and will provide reasonable notice of material changes through the platform, email, or website posting.

Continued use of the Services after the effective date of revised Terms constitutes acceptance of the revised Terms.

20. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

Failure to enforce any provision is not a waiver of future enforcement.

These Terms, together with applicable order forms or service terms, form the entire agreement concerning the Services and supersede prior understandings on the same subject matter.
